The transfer of an employment contract is a legal institution that ensures the continuity of the employment relationship despite a change in the employer and is regulated under Article 429 of the Turkish Code of Obligations. In the transfer of an employment contract, although the termination of the contract does not, as a rule, occur and therefore termination-related entitlements do not arise, the employee’s period of service with the transferring employer must be preserved with regard to rights contingent upon seniority. Indeed, pursuant to Article 429 of the Turkish Code of Obligations, the date on which the employee commenced employment with the transferring employer is taken into account in determining rights arising from the  employee’s period of service, thereby ensuring that the employee’s seniority is not interrupted by the transfer. This study examines the effects of the transfer of an employment contract on the employee’s seniority-based entitlements and the liability of the transferring and transferee employers. In this context, it first distinguishes the transfer of an employment contract from the transfer of a workplace regulated under Article 6 of the Turkish Labour Law No. 4857. It then considers whether the liability regime concerning severance pay set forth in Article 14 of the former Labour Law No. 1475, which remains in force, may be applied by analogy to the transfer of an employment contract. The principal issue addressed in the study is whether the limited liability imposed on the transferring employer in cases of workplace transfer may, by analogy, be applied to the transfer of an employment contract. In this regard, differing views in legal scholarship and the case law of the Turkish Court of Cassation are examined in order to determine how a proper balance should be established between the protection of employees’ seniority-based entitlements and the allocation of liability between the transferring and transferee employers. The study also evaluates the differing consequences arising with respect to severance pay, notice pay, and annual paid leave, and considers whether each entitlement requires a distinct liability regime based on its specific legal nature.
